DINAN performance chip for 325iS E36

I'm thinking of planting a performance chip inside my car...
I was told that by changing the STOCK chip would improve the performace of
my car (not very much but at least it does)

Then someone told me that I should get a DINAN <== kind of the most
prefered chips of all BMW chip manufacturer (that's what I've heard..)
But the thing is.. I have to take out the "BOX" that contains the chip and
ship to to DINAN.. because I have a '95 325iS.. and Let them replace the
chip for me.. But as I understand.. one of my friends got a 325i '93 he
asked a local dealer to install the chip for him...
I've asked the dealer.. they told me that they could not do it..
I don;t get it...

Anyone knows why?
and is it really really necessary to change the chip? (I'm kinda afraid if
anything goes wrong.. after all from what I;ve heard.. if you change those
after market products.. the warranty on the car would be invalid.. I
dunno...)
